Algorithmic Trading Service Agreement — MoneyMakers Algo Trade

This agreement is between MoneyMakers Algo Trade ("Service Provider") and the client named in this form ("Client"). By checking the boxes below and submitting this form, the Client agrees to all terms stated herein.

1. Nature of service: The Service Provider operates automated trading bots that execute trades in the Client's own Dhan brokerage account using API access voluntarily provided by the Client. The Service Provider does not hold, manage, or have custody of Client funds at any time. All funds remain in the Client's own Dhan account.
2. Risk acknowledgment: Trading in financial markets — including equities, derivatives, and futures — involves substantial risk of loss. Past performance of the bots does not guarantee future results. The Client acknowledges they may lose part or all of their invested capital and agrees to trade only with funds they can afford to lose.
3. No guaranteed returns: The Service Provider makes no guarantee of profit, specific returns, or minimum performance. Any PnL figures shared historically are indicative only and not a promise of future performance.
4. API access: The Client voluntarily provides Dhan API credentials to the Service Provider solely for the purpose of automated trading. The Client can revoke this access at any time by deleting the API key from their Dhan account. The Service Provider will store all credentials in AES-256 encrypted form and will not share them with any third party under any circumstances.
5. Fees and payment: Monthly subscription fee as per the selected plan is due in advance via UPI or bank transfer. Non-payment within 3 days of due date will result in the bot being paused until payment is received. No refunds for partial months.
6. Confidentiality: The trading strategies, bot logic, algorithms, and system architecture of MoneyMakers Algo Trade are proprietary and strictly confidential. The Client agrees not to attempt to reverse-engineer, copy, record, share, or disclose any information about the trading systems to any third party.
7. Limitation of liability: The Service Provider's total liability to the Client for any claim shall not exceed the subscription fees paid in the preceding one calendar month. The Service Provider is not liable for losses arising from market conditions, broker downtime, API failures, internet disruptions, exchange circuit filters, or any force majeure event.
8. Termination: Either party may terminate this agreement with 7 days written notice via WhatsApp or email. Upon termination, the Service Provider will immediately cease all trading activity in the Client's account and securely delete all stored credentials.
9. Regulatory compliance: This is a private service arrangement between the parties. The Client is solely responsible for any tax obligations, reporting requirements, or regulatory compliance arising from trading activity in their account.
10. Governing terms: This agreement is governed by the laws of India. Any disputes shall first be attempted to be resolved amicably between the parties.
